Terms of Service

You must be at least 18 years old to create an account and use the Platform. By signing up you confirm that you meet this age requirement and that the information you provide is accurate.

You are responsible for maintaining the confidentiality of your password and for all activity under your account. You agree to notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we believe are engaged in fraudulent or harmful activity.

The Platform offers a paid membership ("Inner Circle") that unlocks exclusive content. Paid memberships are billed monthly ($9.99) or annually ($99.99) through Stripe until you cancel.

Fees are non-refundable except where required by law. You can cancel your subscription at any time; cancellation stops future billing but does not refund the current paid period, during which you retain access until it ends. We may change membership pricing with reasonable advance notice; existing subscribers will be notified before any price change takes effect.

You may submit posts, media (images, audio, video), and other content through the member submission panel. You retain ownership of your content, but by submitting it you grant us a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content on and through the Platform for the purpose of operating and promoting it.

You represent and warrant that your content:

• Does not infringe the rights of any third party.
• Is lawful and does not contain hateful, harassing, defamatory, infringing, or otherwise objectionable material.
• Does not contain malware or any code intended to harm the Platform or its users.

Submitted content is reviewed by our team before publication. We reserve the right to approve, reject, edit, or remove any submission at our discretion, and to revoke access for repeated violations.

You agree not to:

• Use the Platform for any unlawful purpose.
• Attempt to access another user's account, data, or non-public content.
• Upload viruses, malware, or any harmful code, or attempt to overload, hack, or disrupt the Platform.
• Circumvent any access controls, paywalls, or member-tier restrictions.
• Abuse the referral program by creating fraudulent accounts or referrals.
• Scrape, copy, or redistribute content from the Platform without permission.

Eligible members receive a personal referral code upon account verification. Rewards for successful referrals are subject to our program rules and availability. We reserve the right to modify, suspend, or terminate the referral program, or to void referrals that we determine to be fraudulent, abusive, or in violation of these Terms.

Members may upload media files. Uploaded files are stored in a storage location scoped to your account. We may impose size, type, and retention limits, and may remove uploaded files that violate these Terms or that are no longer associated with active content.

The Platform, including its branding, music, text, graphics, and software, is owned by JahNoir and protected by intellectual property laws. The music, audio, and unreleased content belong to JahNoir and may not be downloaded, copied, or redistributed except where the Platform explicitly enables a download. Member content remains the property of the submitting member as set out in Section 4.

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, in no event will JahNoir or McCathy Neil Jn Baptiste be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Platform, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

You agree to indemnify and hold JahNoir harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your content, your breach of these Terms, or your misuse of the Platform.

You may close your account at any time. We may suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination, your right to use the Platform ends, and the licenses you granted to your content (Section 4) will continue only to the extent necessary for us to operate residual copies of Platform content.

The Platform integrates with third-party services including Stripe (payments), Brevo (email), and external platforms (Patreon, Bandcamp, Spotify, Eventbrite, and others). Your use of those services is subject to their own terms and privacy policies, and we are not responsible for their practices.

We may revise these Terms from time to time. The most current version will always be posted on this page with an updated "Last updated" date. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in New York for any dispute arising out of these Terms or the Platform.
